At Sparrow IT Solutions LLC, we help our clients stay secure and productive by installing and managing trusted third-party software. This includes antivirus, anti-scam tools, email software, remote access programs, and cloud backup services.

Third-Party Software Disclaimer

We do not develop the software we install. Instead, we work with well-known providers to offer solutions that fit your needs. Because these are third-party products, we cannot guarantee their performance, compatibility, or security. All software is used under the terms and conditions of its respective provider.

No Guarantee of Protection

While antivirus, email security, anti-scam tools, and backups reduce risk, no software can guarantee 100% protection from viruses, data loss, cyberattacks, or system issues. We take every reasonable step to configure and maintain these tools, but Sparrow IT Solutions LLC is not responsible for any failures, breaches, or damages caused by third-party software.

Client Responsibilities

You are responsible for:

  • Maintaining valid software licenses and subscriptions.

  • Reviewing the software’s privacy and usage terms.

  • Notifying us quickly if something seems off or isn’t working.

 

We’ll help monitor and manage these tools if included in your service plan, but we rely on timely communication from you to keep things running smoothly.

 

Limitation of Liability

To the fullest extent permitted by law:

Sparrow IT Solutions LLC’s total liability for any claim, whether in contract, tort, or otherwise, is limited to the total amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption.

We are not liable for damages caused by third-party software, hardware, cloud services, or service providers, even if installed, configured, or managed by us.

 

Indemnification

By using our services, you agree to indemnify, defend, and hold harmless Sparrow IT Solutions LLC, its owners, employees, contractors, and affiliates from and against any and all claims, demands, losses, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use or misuse of our services, software, systems, or recommendations.

  • Any breach of these Terms of Service by you or your organization.

  • Any security incident, data breach, or system failure resulting from your failure to follow our recommendations or maintain your systems.

  • The use, performance, or failure of any third-party software, hardware, or services we install or manage for you.

 

Claims Procedure

If a claim arises that may trigger indemnification:

You must provide written notice to Sparrow IT Solutions LLC within ten (10) days of becoming aware of the claim.

We have the right to control the defense and settlement of the claim. You may not agree to any settlement without our prior written consent.
